Terms of Service

InvoiceFlow Terms of Service: your agreement for using our FBR e-invoicing software in Pakistan, covering accounts, billing, liability, data, and disputes.

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", "Customer") and InvoiceFlow ("InvoiceFlow", "we", "us", "our"), governing your access to and use of the InvoiceFlow website at https://invoiceflow.pk, the web application at https://app.invoiceflow.pk, and all related services (together, the "Service"). Please read these Terms carefully. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you are authorised to bind that entity.

1. Acceptance of Terms

By registering for an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated here by reference. If you do not agree with any part of these Terms, you must not use the Service.

We may update these Terms from time to time as described in the section "Changes to These Terms" below. Your continued use of the Service after any update takes effect constitutes your acceptance of the revised Terms.

2. Description of the Service

InvoiceFlow is a Software-as-a-Service (SaaS) platform that helps Pakistani B2B businesses — including manufacturers, importers, wholesalers, distributors, and corporates — create and issue digital sales tax invoices that comply with Pakistan's e-invoicing framework.

When you issue an invoice through InvoiceFlow, we submit the invoice data to the Federal Board of Revenue (FBR) through the official PRAL (Pakistan Revenue Automation (Pvt) Ltd) gateway API. On acceptance, FBR's Computerized System returns, in real time, a unique FBR invoice number (commonly referred to as an IRN) together with a QR code generated per the PRAL specification, which is then displayed on your invoice alongside the FBR Digital Invoicing logo.

This framework arises under Section 50 of the Sales Tax Act, 1990 and Chapter XIV (Rules 150Q–150XQ) of the Sales Tax Rules, 2006, as substituted by SRO 69(I)/2025 dated 29 January 2025, with phased go-live dates set by SRO 1852(I)/2025 dated 24 September 2025. Editing and cancellation of issued e-invoices is permitted only within a 72-hour window, in line with STGO 01 of 2026.

Important positioning: InvoiceFlow is not on FBR's official list of licensed integrators and does not claim to be "FBR-certified", "PRAL-certified", or a "licensed integrator". InvoiceFlow submits invoices through FBR's official PRAL gateway API. Where these Terms describe FBR rules or deadlines, they are provided for general information only and are not tax or legal advice.

3. Eligibility and Account Registration

The Service is intended for businesses, not consumers. To use the Service, you must be a business, sole proprietorship, or other legal entity acting for commercial purposes. The individual who registers the account or accepts these Terms on behalf of the business must be at least 18 years of age and have the legal capacity and authority to enter into a binding contract on behalf of that business under the laws of Pakistan.

During registration we collect your company name, an email address (which serves as your username), a password, your phone number, and optionally a first and last name. Registration is protected by Google reCAPTCHA, and accounts are created via our API. You agree to:

  • provide accurate, current, and complete information at registration and keep it up to date;
  • keep your password and login credentials confidential and not share them with unauthorised persons;
  • be responsible for activity that occurs under your account, except to the extent such activity is caused by InvoiceFlow's own breach of these Terms or a security failure on our part; and
  • notify us immediately at info@invoiceflow.pk if you suspect any unauthorised access to or use of your account.

Except where the unauthorised activity results from InvoiceFlow's own breach of these Terms or failure to maintain reasonable security on its side, we are not liable for any loss or damage arising from your failure to safeguard your credentials. Your responsibility for unauthorised activity ends once you have notified us and we have had a reasonable opportunity to act on that notice.

4. Free Trial, Subscription Plans and Billing

4.1 Free trial

We offer a 7-day free trial for new accounts. No credit card or advance payment is required to start the trial. At the end of the trial, the Service will not continue unless you choose to subscribe to a paid plan. We may modify or discontinue the trial offer at any time.

Live FBR submission during the trial. Invoices you issue during the free trial are submitted to the live FBR / PRAL production environment and, where accepted, receive real, legally valid FBR invoice numbers (IRNs) and QR codes. The trial is not a sandbox or test-only mode. You are therefore fully responsible during the trial for the accuracy, completeness, and legality of all invoice and tax data you submit, and for any resulting tax, filing, or compliance consequences, on the same basis as for a paid subscription. If you wish to test the Service without issuing live invoices, please contact us before submitting any invoice.

4.2 Plans and pricing

InvoiceFlow offers three subscription plans — Starter, Business, and Enterprise — priced in Pakistani Rupees (PKR) and available on a monthly or yearly billing cycle. Current plan features and prices are shown on our website and may be updated from time to time. The price applicable to your subscription is the price in effect at the start of your then-current billing term.

4.3 Payment methods

Subscription fees are payable in advance by bank transfer, EasyPaisa, or JazzCash. Your paid subscription becomes active once we have received and confirmed your payment. All fees are exclusive of any applicable taxes, duties, or levies, which are your responsibility unless stated otherwise.

4.4 Renewals and cancellation

Subscriptions run for the billing term you select (monthly or yearly). Because payment is made by manual transfer in advance, your subscription continues only when you make the payment for the next term. You may cancel at any time by contacting us at info@invoiceflow.pk or via WhatsApp at +92 313 4038839; cancellation stops future billing but does not entitle you to a refund for the current term except as set out in our Refund Policy.

4.5 Refunds

Except where required by applicable law or expressly provided in our Refund Policy, subscription fees are non-refundable. Please refer to the Refund Policy for full details on eligibility and the refund process.

5. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws. You must not:

  • submit false, fraudulent, misleading, or fabricated invoice or tax data through the Service;
  • use the Service to evade tax, launder money, or facilitate any other unlawful activity;
  • access or attempt to access another customer's account or data;
  • interfere with, disrupt, overload, or attempt to gain unauthorised access to the Service, our infrastructure, the PRAL gateway, or FBR systems;
  • reverse engineer, decompile, copy, resell, or create derivative works from the Service except as permitted by law;
  • use automated means to access the Service in a manner that exceeds reasonable use or circumvents our API controls or reCAPTCHA protection; or
  • upload any malware, or any content that infringes the rights of others.

We may investigate suspected violations and cooperate with law enforcement and FBR as required by law.

6. Your Responsibilities for Tax Data and FBR Registration

You are solely responsible for:

  • maintaining a valid sales tax registration with FBR and determining whether and from when the e-invoicing requirement applies to your business under Rule 150Q and the go-live dates in SRO 1852(I)/2025;
  • the accuracy, completeness, and legality of all invoice data, buyer/seller details, tax rates, HS codes, and other information you submit through the Service;
  • verifying each issued invoice and the unique FBR invoice number, and making any permitted edits or cancellations within the 72-hour window under STGO 01 of 2026; and
  • retaining your own records and complying with your filing and record-keeping obligations.

InvoiceFlow transmits the data you provide; we do not verify the underlying accuracy of your business or tax information. Failure to comply with FBR's e-invoicing and integration requirements, or to issue invoices through the prescribed system, may expose you to penalties and other enforcement action under the Sales Tax Act, 1990, as determined by FBR, which may be substantial. The amount and nature of any penalty depend on the relevant provisions in force at the time and on FBR's assessment of your circumstances. You remain solely responsible for any such penalties. This is general information only and not tax or legal advice; you should confirm your exposure with FBR or a qualified tax advisor.

7. Service Availability and FBR / PRAL Dependency

We aim to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be unavailable during scheduled maintenance, updates, or events beyond our reasonable control.

The issuance of a unique FBR invoice number and QR code depends entirely on the availability and response of FBR's Computerized System and the PRAL gateway, which are operated by third parties and are outside our control. We do not guarantee uninterrupted, timely, or error-free IRN issuance, and we are not responsible for delays, downtime, rejections, schema changes, or failures originating from FBR or PRAL systems. Where the PRAL gateway is unavailable, invoice submission may be delayed until service is restored.

8. Third-Party Services

The Service relies on, and integrates with, services operated by third parties, including the FBR Computerized System and the PRAL gateway (for invoice submission and IRN/QR issuance), Google reCAPTCHA (for bot protection at registration and login), and the EasyPaisa, JazzCash, and bank transfer channels (for payment). Your use of these third-party services may be subject to their own terms and privacy policies, and we are not responsible for their acts, omissions, availability, security, or processing of your data. We do not control, and are not liable for, failures, delays, errors, or charges arising from these third-party services. Any payment confirmation or reconciliation is subject to the records of the relevant payment provider.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and the "InvoiceFlow" name and branding, is owned by InvoiceFlow or its licensors and is protected by Pakistani and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription, subject to these Terms.

You retain ownership of the invoice and business data you submit ("Customer Data"). You grant us a licence to process and transmit Customer Data as necessary to provide the Service, including submission to the PRAL gateway. The FBR Digital Invoicing logo, QR code specification, and related FBR/PRAL marks remain the property of their respective owners.

10. Data Protection, Retention and Deletion

We process Customer Data and personal information in accordance with our Privacy Policy and applicable Pakistani law. We apply reasonable technical and organisational measures to protect Customer Data against unauthorised access, loss, or disclosure.

During your subscription, you may access and export your invoice records and Customer Data through the Service. On termination or expiry of your account, we will retain Customer Data for a limited transition period of thirty (30) days to allow you to export your records, after which we may delete or anonymise Customer Data from active systems, except where we are required to retain it to comply with FBR record-keeping requirements, the Sales Tax Act, 1990, other applicable law, or to resolve disputes and enforce our agreements. You remain solely responsible for retaining your own invoice and tax records as required by law. Where you initiate deletion, or where we delete data following the transition period, such deletion may be irreversible.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, that it will achieve or maintain your FBR compliance, or that every invoice will be accepted by FBR or PRAL.

12. Limitation of Liability

To the maximum extent permitted by applicable law, InvoiceFlow and its directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the total amount of subscription fees actually paid by you to InvoiceFlow in the twelve (12) months immediately preceding the event giving rise to the claim. For monthly subscribers, this is the sum of the fees paid across that twelve-month period; for yearly subscribers, this is the annual fee paid for the subscription term in which the claim arose (or, where more than one annual term falls within that period, the most recent annual fee paid). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Not Tax or Legal Advice

InvoiceFlow is a software tool, not a tax advisor, accountant, or law firm. Information provided through the Service or on our website about FBR e-invoicing, SROs, rules, deadlines, or penalties is general information only and does not constitute tax, accounting, or legal advice. You should confirm your specific obligations directly with FBR or a qualified tax advisor before relying on any such information.

14. Indemnity

You agree to indemnify, defend, and hold harmless InvoiceFlow and its directors, employees, and agents from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data or the content you submit; (b) your breach of these Terms or applicable law; (c) your tax, regulatory, or FBR compliance obligations; or (d) your misuse of the Service.

15. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, use the Service unlawfully, or where required by law or by FBR/PRAL. You may terminate by cancelling your subscription and ceasing to use the Service.

Termination for cause by InvoiceFlow mid-term. If we terminate or suspend your account for cause during a paid term (for example, for a material breach of these Terms or unlawful use), prepaid fees for the unused portion of the term are non-refundable, except to the extent the Refund Policy or applicable law requires otherwise. Following any termination, we will, for the transition period described in Section 10 and provided your account is not subject to a legal hold, give you a reasonable opportunity to access and export your Customer Data, unless prevented by law or by a binding FBR/PRAL or court directive.

On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination — including intellectual property, data protection and retention, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law — will survive. You remain responsible for retaining your own invoice records as required by law.

16. Dispute Resolution

If a dispute arises out of or in connection with these Terms or the Service, the parties will first attempt to resolve it amicably through good-faith negotiation. You agree to contact us at info@invoiceflow.pk and give us a reasonable period (at least thirty (30) days from written notice) to resolve the matter before commencing formal proceedings. If the dispute is not resolved through negotiation, it shall be subject to the governing law and jurisdiction set out in Section 23. Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a competent court.

17. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, strikes, epidemics or pandemics, failures of telecommunications or internet infrastructure, power outages, changes in law or regulation, government or regulatory action, and failures, downtime, or changes affecting the FBR Computerized System, the PRAL gateway, or payment providers. If a force majeure event continues for an extended period, either party may suspend performance for the duration of the event.

18. Assignment

You may not assign, transfer, or sub-licence your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of assets, on notice to you. These Terms bind and benefit the parties and their permitted successors and assigns.

19. Entire Agreement and Order of Precedence

These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and InvoiceFlow regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral, on that subject. In the event of any conflict or inconsistency between these documents, the following order of precedence applies, from highest to lowest: (1) these Terms of Service; (2) the Refund Policy (in respect of refunds and billing); and (3) the Privacy Policy (in respect of data protection and privacy). Where a document specifically governs a subject matter, that document prevails for that subject matter to the extent of the inconsistency.

20. Notices

We may give you notices relating to the Service or these Terms by email to the address associated with your account, by WhatsApp to the number you provided, or by posting on the website or within the application; such notices are deemed received when sent or posted. You may give us notice by email to info@invoiceflow.pk or by WhatsApp to +92 313 4038839; notices to us are deemed received when we acknowledge or act on them. It is your responsibility to keep your contact details current.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, severed. The remaining provisions of these Terms will continue in full force and effect.

22. No Waiver

Our failure or delay in enforcing any provision of these Terms, or in exercising any right or remedy, will not be a waiver of that provision, right, or remedy. Any waiver must be in writing to be effective, and a waiver on one occasion will not be a waiver of any subsequent breach or default.

23. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Subject to Section 16 (Dispute Resolution), you agree that the courts of Pakistan shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

24. Changes to These Terms

We may revise these Terms from time to time, for example to reflect changes in the Service, in FBR/PRAL requirements, or in applicable law. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will make reasonable efforts to notify you, such as by email. Your continued use of the Service after the changes take effect constitutes acceptance.
